INDICATED MACHINE LLC · SOMERSET, KENTUCKY

Terms & Conditions

Clear expectations, from your first RFQ to your finished parts.

Version: October 20, 2026 · Applies to new orders that incorporate these terms.

An RFQ requests pricing only. Sending drawings or submitting the website form does not place an order or authorize production. Our confidentiality commitment applies automatically when we receive your nonpublic project information.

1. Scope & agreement

These terms describe use of the Indicated Machine LLC website and our standard conditions for custom machining, tooling, repair parts, 3D printing, and design services. The order-related provisions apply when incorporated into a quote, order acknowledgment, or other agreement accepted by both parties.

A separately signed agreement and job-specific terms expressly accepted in writing take priority over conflicting provisions here. Customer purchase-order terms that conflict with our quote or these terms require our written agreement. An order is accepted when Indicated Machine confirms acceptance in writing; an automated RFQ receipt is not order acceptance.

The version incorporated when an order is accepted governs that order. Later website updates do not change an existing order without both parties' agreement.

2. RFQs & quotes

Quotes are based on the quantity, revision, material, processing, inspection, and delivery information reviewed. Unless a quote states otherwise, it is valid for 30 days from its issue date. Estimates are identified as estimates; a quote does not reserve production capacity until the order is accepted.

Please identify all requirements before ordering. Changes to quantity, specifications, supplier availability, or requested delivery may require a revised quote before acceptance. We will confirm any material pricing or scope correction with you before proceeding.

3. Drawings, revisions & requirements

The customer must provide accurate, complete requirements and the correct drawing and model revisions, including material, tolerances, threads, finishes, heat treatment, coatings, inspection, and required certifications. Requirements must be included in the accepted scope to be priced and scheduled.

Conflicting drawings, models, dimensions, or instructions require written clarification. We do not assume that a model overrides a drawing, that an unspecified tolerance is acceptable, or that a later file automatically replaces the accepted revision. Changes require written agreement before the affected work proceeds.

4. Pricing, payment & sales tax

Prices are in U.S. dollars unless stated otherwise. Quoted part prices include the material and manufacturing costs specified in the quote; customer sales tax is separate. Additional work or costs outside the accepted scope require approval.

Payment is due on delivery unless different terms are accepted in writing. Any required material deposit or advance payment will be stated in the quote or order agreement. Purchasing or production may depend on receipt of that payment. An existing customer's credit terms apply only where agreed.

Plus applicable sales tax. Applicable tax is added as a separate invoice line. Customers claiming an exemption or resale treatment must supply valid, applicable documentation before tax is omitted.

5. Lead times, delivery & delays

Lead times are stated per job. Unless otherwise agreed, the quoted period begins after order acceptance and receipt of the final requirements, necessary customer material, and any required deposit. A requested date entered on an RFQ is not a confirmed delivery commitment.

We will communicate material schedule changes. Customer changes, delayed approvals, unavailable material, outside processing, carrier delays, and events beyond reasonable control may affect delivery. Any firm delivery commitment, shipping arrangement, freight charge, or transfer of shipping risk must be agreed for the order; this website does not establish those terms.

6. Changes, holds & cancellations

Request changes, holds, or cancellations in writing as soon as possible. We will confirm the effect on work in progress, price, and schedule. Revised work proceeds after the change is agreed.

Custom work and specially purchased material may not be returnable. If a customer cancels an accepted order, charges may include authorized work already performed and reasonable, documented commitments that cannot be canceled, reduced by recoveries or costs avoided and subject to applicable law. We will provide an accounting, credit payments already received, and return any remaining refundable balance. An unstarted RFQ does not create a cancellation charge.

7. Customer material & outside processing

Customer-supplied stock, castings, existing parts, or assemblies must be suitable for the agreed work. Provide the material grade, condition, relevant history, and required certificates. We will use reasonable care in handling customer property and contact you when a material problem is identified.

Unidentified material, hidden defects, insufficient stock, or prior damage may affect the result and require an agreed change. Supplying customer material does not waive responsibility for our workmanship. Outside processing and any required certifications are included only as specified in the accepted scope; using an outside provider does not remove our obligations under the order.

8. Inspection, workmanship & concerns

We are responsible for performing the agreed work in a workmanlike manner and supplying parts that conform to the specifications accepted for that order. Special inspection reports, traceability, material certificates, or testing must be agreed before production.

Please inspect delivered work promptly and report suspected nonconformity within a reasonable time after discovery, with the order number and supporting details. Preserve the affected parts and give us a reasonable opportunity to inspect them. Contact us before arranging a return, modification, or third-party rework so we can agree on the response and associated costs. This process does not waive rights that applicable law preserves.

For a verified issue attributable to our work, we will arrange an appropriate correction, which may include repair, replacement, or a refund for the affected work, subject to the order agreement and applicable law. Damage caused by misuse, unauthorized modification, or conditions outside the agreed requirements is not a workmanship defect.

Warranty limitation: Except for the express commitments in the accepted order and this section, and to the extent permitted by applicable law, Indicated Machine disclaims other warranties, including implied warranties of merchantability and fitness for a particular purpose. This limitation does not cancel an express specification or warranty we have agreed to meet.

9. Design responsibility & intended use

For work made to customer-supplied designs, the customer is responsible for the design, application, assembly, and end-use suitability. A manufacturability review or quote is not validation of a customer's design. CAD, engineering, or design services are limited to the deliverables and responsibilities expressly agreed for the job.

Tell us about safety-critical applications, regulated uses, or required approvals before quoting. Prototypes and fit-check models require appropriate evaluation before operational use. Website descriptions do not establish a certification, regulatory approval, load rating, or suitability for a particular application.

10. Confidentiality & ownership

Indicated Machine treats all nonpublic RFQs, drawings, CAD files, designs, and project information as confidential upon receipt. We use this information only to evaluate and quote your request and perform work you authorize.

Access is limited to those who need it for these purposes and are subject to confidentiality obligations. We do not publish, sell, or use your designs for unrelated purposes without your written permission.

No separate confidentiality request is required.

The customer retains ownership of its supplied drawings, models, and designs and must have authority to provide and authorize use of them. Ownership or delivery of newly created design files, dedicated tooling, fixtures, programs, or other project assets should be stated in the accepted agreement; a website upload alone does not transfer ownership.

11. Limits of liability

To the fullest extent permitted by applicable law, for commercial orders incorporating these terms, Indicated Machine's total liability arising from the affected goods or services is limited to the amount paid or payable for those affected goods or services. Indicated Machine is not liable for indirect, incidental, special, or consequential commercial losses, including lost profits, lost production, downtime, or loss of business.

These limitations do not apply to fraud, willful misconduct, gross negligence, injury or other liability that cannot lawfully be excluded or limited, or rights and remedies that applicable law makes nonwaivable. They do not override an express responsibility accepted in a separately signed agreement.

12. Website use

Use this website lawfully. Do not submit malicious files, attempt unauthorized access, interfere with the site, or provide information you are not authorized to share. Website text and photographs are general information; the accepted quote and order define the work we undertake. Contact us to verify current capabilities and availability for your specific project.

Our original website content and branding may not be copied for commercial reuse without permission. Customer-provided material remains subject to the ownership and confidentiality provisions above. Website availability and error-free operation are not guaranteed; you may contact us directly if the RFQ form is unavailable.

13. Governing law & contact

To the extent permitted by applicable law and unless a separately signed agreement states otherwise, these terms and orders incorporating them are governed by Kentucky law. Mandatory legal rights continue to apply. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.

Questions about these terms or a specific order should be directed to Indicated Machine LLC, Somerset, Kentucky, at indicatedmachine@gmail.com or (606) 219-0473.
